Introduction

These Terms of Service ("Terms") govern your use of nudgr, operated by Yondu AG, registered in Freienbach, Switzerland ("nudgr", "we", "us"). By accessing or using our website and Services, you:

• Acknowledge that you have read and understood these Terms
• Agree to be bound by these Terms
• Agree to our Privacy Policy
• Commit to comply with all applicable laws and regulations

If you do not agree, you may not use the Services.

License to Use Our Services

We grant you a limited, personal, non-exclusive, non-transferable license to use the Services, subject to your subscription level and compliance with these Terms. This license terminates immediately if you violate these Terms or if your account is terminated.

Intellectual Property

nudgr (Yondu AG) and its licensors retain all rights, title, and interest in the Services, platform, technology, brand, and all related intellectual property ("nudgr Materials"). Except as expressly authorized in writing, no rights are granted to users. Customers retain rights in their own content and copy generated via nudgr, subject to third-party rights.

Data Usage

We collect and process Customer Data (e.g., prompts, generated outputs, inputs) to provide and improve the Services. Customer Data may be used to train and tune AI models, including integration with vector databases hosted by nudgr or the client, provided access is properly secured. Personally Identifiable Information (PII) is excluded from training datasets. Usage Data (telemetry, logs, performance metrics) belongs to nudgr and may be used for analytics and benchmarking.

Plans and Pricing

Access to the Services is subject to subscription levels (Junior, Professional, Senior, Enterprise) and Tiers (Bronze, Silver, Gold). Plan details, quotas, and pricing are published on our pricing page. We may update plans and prices from time to time.

User Accounts

You are responsible for maintaining the confidentiality of your account and password and for all activity under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

Prohibited Uses

• Reverse engineering, scraping, or attempting to extract model weights
• Uploading malicious or unlawful content
• Using the Services to generate harmful, misleading, or unlawful content
• Using AI outputs in critical contexts (e.g. medical, financial, legal) without proper review
• Violating export control or sanctions laws

Copyright Complaints

If you believe content on nudgr infringes your copyright, please notify us at privacy [at] nudgr.ch with:

• Identification of the copyrighted work allegedly infringed
• Identification of the material claimed to be infringing
• Your contact details
• A good-faith statement of infringement

We will promptly review and, if appropriate, remove or restrict the material.

Export Controls

You may not use the Services in violation of Swiss, EU, or U.S. export control and sanctions regulations. This includes prohibitions on use in or for sanctioned countries, persons, or entities.

Publicity Rights

If you are a business customer, you grant nudgr a limited right to list your name and logo as a reference customer in marketing materials, unless you opt out by written notice.

Disclaimers

The Services are provided “as is” without warranties. AI-generated content may contain errors, be incomplete, or be unsuitable for specific purposes. You are solely responsible for reviewing and validating AI outputs before relying on them.

Limitation of Liability

To the maximum extent permitted by Swiss law, nudgr shall not be liable for indirect, incidental, or consequential damages. Liability is limited to the amount paid by you for the Services in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify and hold harmless nudgr, its officers, employees, and affiliates against any claims arising from your misuse of the Services, your content, or your violation of these Terms.

Governing Law and Venue

These Terms are governed by Swiss law. The exclusive venue for disputes is Freienbach, Canton Schwyz, Switzerland.

Miscellaneous

These Terms constitute the entire agreement between you and nudgr. Our failure to enforce a provision does not waive our rights. If any provision is found invalid, the remaining provisions remain in full force.
